1. Scope and Acceptance of these Terms
1.1 These General Terms and Conditions ("Terms") govern the sale of industrial hemp seeds ("Products") by CBD Seed EU Ltd. ("Seller") to any buyer ("Buyer") via the Seller’s website or through direct written communications (email/offer/purchase agreement).
1.2 For sales to professionals, these Terms are adopted under Article 298(1) of the Bulgarian Commerce Act and become binding once the Buyer accepts them (e.g., by ticking a checkbox on the website, placing an order, or signing/confirming a Purchase Agreement).
1.3 If the Buyer is a consumer within the meaning of the Bulgarian Consumer Protection Act (CPA), mandatory consumer rules apply and prevail over any conflicting clause in these Terms.
1.4 The Seller may sell only to jurisdictions where purchase, possession, import, planting, cultivation, and use of industrial hemp seeds are lawful. The Buyer bears sole responsibility to ensure compliance with all applicable laws and permits in the destination and place of use.
2. Definitions
Affiliate: Any entity that directly or indirectly controls, is controlled by, or is under common control with a Party.
Applicable Law: All applicable laws, regulations, binding administrative acts and court decisions, and mandatory standards relevant to the transaction.
Buyer: The natural or legal person placing an order or entering into a Purchase Agreement with the Seller.
Consumer: A natural person acting outside their trade, business, or profession under the CPA.
Purchase Agreement: A written agreement (including in electronic form) between Seller and Buyer for a specific order.
Products: Industrial hemp (Cannabis sativa L.) seeds, as described in the order confirmation or Purchase Agreement.
Website: www.cbdseedeurope.com and any subdomains used to offer Products.
3. Product Status, Compliance and Permitted Use
3.1 The Products are intended for industrial hemp cultivation and related lawful professional uses. The Seller does not provide legal advice on hemp regulation in each country; any information on the Website is general and non-binding.
3.2 Unless otherwise stated in writing, the Products offered are varieties registered in the EU Common Catalogue of Varieties of Agricultural Plant Species or otherwise lawfully marketable as seeds/plant reproductive material in the EU.
3.3 The Buyer warrants that it holds and will maintain all registrations, permits, notifications and documentation required for purchase, import, storage, planting, cultivation, harvesting, processing, resale, and transport of the Products, and that the intended use is lawful in the relevant territory.
Prohibited activities:
Seed multiplication or reproduction for maintaining the Product as seed stock, and any creation of new lines derived from the Products, unless expressly permitted in writing by the Seller.
Molecular or genetic characterization (including sequencing, genotyping, DNA fingerprinting, marker analysis) and the creation of derivative genetic material, unless required by law and agreed with the Seller in writing.
Selling, donating, leasing, or otherwise making available the Products to third parties for reproduction or breeding purposes.
4. Order Process and Conclusion of the Contract
4.1 Website orders: By submitting an order on the Website, the Buyer makes an offer to purchase. A contract is concluded when the Seller confirms the order by email or otherwise in writing, or when the Seller dispatches the Products, whichever occurs first.
4.2 The Seller may refuse an order, including where (i) Products are unavailable, (ii) payment fails, (iii) the Buyer cannot demonstrate required permits, (iv) there is suspicion of unlawful use, export or diversion, or (v) the Buyer is located in a jurisdiction where sale is restricted.
4.3 Purchase Agreements: If the Parties sign a Purchase Agreement, that agreement governs the specific order. In case of conflict, the Purchase Agreement prevails.
5. Prices, VAT and Payment
5.1 Prices are as displayed on the Website or in the Purchase Agreement/offer, and are net or gross of VAT as indicated. If VAT is applicable, it will be charged in accordance with Bulgarian VAT rules and the rules for intra-EU and export supplies.
5.2 Payment methods and deadlines are those stated on the Website or in the Purchase Agreement. Unless agreed otherwise, the Seller ships only after full payment is received.
5.3 No set-off: The Buyer may not withhold or set off payments unless explicitly permitted by mandatory law.
5.4 Late payment: the Seller may suspend deliveries and charge statutory interest for delay under Bulgarian law.
6. Delivery, Transfer of Risk and Documents
6.1 Delivery terms: Unless otherwise agreed, deliveries are made on DAP (Incoterms 2020 or latest edition).
6.2 Risk and title: Risk passes to the Buyer upon delivery at the agreed address and signature of the transport documents. Title passes only after full payment of the Purchase Price.
6.3 Delivery time: Estimated delivery times are non-binding unless expressly agreed as fixed. For consumer contracts, the statutory default is delivery within 30 days unless another period is agreed.
6.4 The Buyer must provide accurate delivery details and ensure someone authorised can receive the shipment and sign transport documents.
7. Inspection, Complaints and Remedies
7.1 Inspection on delivery: The Buyer must inspect the Products immediately upon delivery and notify the Seller in writing of visible non-conformities within 3 business days.
7.2 Hidden defects: The Buyer must notify the Seller in writing within 3 business days after discovery, but no later than 30 calendar days after delivery, providing lot number, photos/videos and sufficient information for verification.
7.3 If a complaint is justified, the Seller will, at its discretion and in compliance with mandatory law, replace the Products or refund the Purchase Price for the affected lot.
7.4 Plant performance depends on environment and cultivation practices. The Seller does not guarantee yields, CBD/CBG levels or final THC levels. The Buyer remains responsible for compliance with legal THC thresholds in the territory of cultivation.
8. Consumer Right of Withdrawal (only if Buyer is a Consumer)
8.1 If the Buyer is a Consumer and the contract is concluded at a distance, the Buyer has the right to withdraw from the contract within 14 days without giving any reason, under Article 50 of the CPA, subject to the statutory exceptions in Article 57 of the CPA.
8.2 To exercise the right of withdrawal, the Consumer must send an unequivocal statement to the Seller (email is sufficient) before expiry of the 14-day period.
8.3 The Consumer must return the Products without undue delay and no later than 14 days after notifying withdrawal. Direct return shipping costs are borne by the Consumer unless the Seller agrees otherwise.
8.4 The Seller refunds payments received, including standard delivery costs (if applicable), without undue delay after receipt of the returned Products or proof of dispatch, in accordance with the CPA.
9. Liability and Limitation
9.1 Each Party indemnifies the other for third-party claims and sanctions arising from its own unlawful acts/omissions, including the Buyer’s unlawful cultivation, processing, marketing, export, or use of the Products.
9.2 To the maximum extent permitted by law, the Seller’s total liability for any claim related to an order shall not exceed the amount actually paid for the relevant Products, or, at the Seller’s option, replacement of the Products.
9.3 The Seller is not liable for indirect, consequential or lost-profit damages, except where such limitation is prohibited by mandatory law.
9.4 Nothing in these Terms excludes or limits liability for intent or gross negligence where such exclusion is void under Bulgarian law (see Article 94 of the Obligations and Contracts Act).
10. Intellectual Property and Branding
10.1 All intellectual property rights (including trademarks, trade names, logos, marketing materials and know-how) remain the property of the Seller and/or its licensors.
10.2 The Buyer receives no licence to use the Seller’s trademarks or branding unless expressly agreed in writing.
11. Confidentiality
11.1 Each Party shall keep confidential all non-public business information received in connection with negotiations, orders or Purchase Agreements, except where disclosure is required by law or to professional advisers under confidentiality.
12. Force Majeure
12.1 Neither Party is liable for failure to perform caused by events beyond reasonable control (force majeure), provided the affected Party promptly notifies the other Party and uses reasonable efforts to mitigate the effects.
12.2 If force majeure prevents performance for more than 30 days, either Party may terminate the affected order/Purchase Agreement by written notice.
13. Assignment and Subcontracting
13.1 The Buyer may not assign its rights or obligations without the Seller’s prior written consent. The Seller may assign receivables or transfer the contract to an Affiliate.
14. Data Protection
14.1 The Seller processes personal data in accordance with Regulation (EU) 2016/679 (GDPR). Processing is typically necessary for performance of a contract or to take steps at the Buyer’s request prior to entering into a contract (Article 6(1)(b) GDPR), and/or for compliance with legal obligations (Article 6(1)(c) GDPR).
14.2 Details are provided in the Seller’s Privacy Policy on the Website, which forms part of the information provided to users.
15. Governing Law and Dispute Resolution
15.1 These Terms and any Purchase Agreement are governed by the laws of the Republic of Bulgaria. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded to the extent permitted.
15.2 All disputes shall be submitted to the competent courts in Sofia, Bulgaria, unless mandatory consumer jurisdiction rules provide otherwise.
16. Amendments and Miscellaneous
16.1 The Seller may amend these Terms for future orders by publishing an updated version on the Website. Orders confirmed before the effective date remain governed by the version accepted at the time of conclusion.
16.2 If any provision is invalid, the remaining provisions remain in force.
16.3 The English version prevails unless the Seller publishes an official Bulgarian version.
Website Publication Clarification
This General Terms and Conditions document applies to both business customers and individual consumers. Mandatory consumer protection provisions under Bulgarian and European Union law apply exclusively to customers acting as consumers.
The legally binding language of these Terms is English. No other language version is published as an official contractual version.
